Soundview Terms of Use

The Terms of Use outlined herein form a contractual agreement between you and Soundview, Inc., along with its affiliates ("Soundview"). These terms are applicable to all individuals visiting or utilizing this website ("Site"). By accessing, visiting, or using this Site, you explicitly agree to adhere to these Terms. Please note that individuals must be at least 18 years old to utilize this website.

User Accounts and Profiles

To access specific services or features on our Site, it may be necessary to establish an account or profile. In such cases, additional terms or requirements may apply when using Soundview products as part of the Site, and these will be integrated into your agreement with us. In the event of any conflict between additional terms and these Terms, the former will take precedence. Soundview will direct any notices or communications to the contact information provided during the account registration process, unless you have informed us of any changes.

User accounts, profiles, usernames, and passwords should be linked to a single individual unless Soundview agrees otherwise. When creating an account or profile, the information provided must be accurate. You are prohibited from allowing another person or entity to use your profile or using the account of another person or entity. It is your responsibility to take reasonable precautions to safeguard your account information. Soundview holds no liability for unauthorized access resulting from your failure to prevent it. You are obligated to inform us immediately of any unauthorized use of your account or any associated security breach you become aware of.

We reserve the right, at our sole discretion, to (i) limit, suspend, or terminate your access to any or all parts of the Site, or (ii) discontinue providing and maintaining the Site, either wholly or partially, at any time, for any reason, with or without prior notice, and without incurring liability. In doing so, we may retain or delete any information or content you provided, subject to applicable law.

Our Site Content

The Site encompasses content owned, operated, licensed, and/or controlled by Soundview, for which we hold copyright, trademark, trade secret, or other proprietary rights ("Site Content"). Site Content includes, but is not limited to, icons, photographs, white papers, product documentation, technology overviews, software in both source and binary forms, sample code, scripts, APIs, SDKs, available for download on specific parts of the Site.

Soundview grants you a limited, revocable, non-transferable license under its and other applicable copyrights to (1) download or use one copy of Site Content on a single computer, if applicable, solely for your personal and non-commercial internal use, except as otherwise indicated on this Site or (2) if you have an existing business relationship with Soundview, download Site Content for use in accordance with the provisions of your separate written agreement with Soundview. If software, executable files, or programs lack their own terms and conditions, our End User Agreement shall govern their use.

This is a license, not a title transfer, and your use of Site Content is subject to the following restrictions: You may not (a) modify the Site Content or use them for any commercial purpose, public display, performance comparison, sale, or rental; (b) decompile, reverse engineer, or disassemble Site Content except to the extent permitted by applicable law; (c) remove any copyright or other proprietary notices from the Site Content; (d) transfer the Site Content to another person. Additionally, you agree to prevent any unauthorized copying of Site Content, ensuring that any copy you make retains all copyright and other proprietary notices in the same form and manner as on the original.

All trademarks, logos, and service marks displayed on our Site are the property of Soundview or other third parties.

User Content

This website offers opportunities for you to join various communities ("Community") and actively contribute by generating, providing, sharing, and uploading information to the Community. This includes comments, ideas, or suggestions for new or enhanced software products, technologies, marketing/advertising campaigns, product names, data, articles, documents, discussion forum threads, blog entries, computer code (such as software sample code, source code, scripts, patches, bug fixes, binaries, or executables), or other information (collectively referred to as "Contributions"). Soundview bears no responsibility or liability for the sharing of user Contributions. Contributions are considered non-confidential and non-proprietary unless expressly agreed otherwise in writing by Soundview.

Soundview holds no obligations to you regarding the use or disclosure of Contributions and retains a worldwide, perpetual, irrevocable, and fully-paid right to use, reproduce, prepare derivative works of, perform, display, and distribute Contributions. This includes any ideas, concepts, know-how, or techniques contained in such Contributions, for any purpose without limitation, and Soundview may authorize others to do the same, without attribution. Soundview reserves the right, at its sole discretion, to remove or delete any Contribution for any reason without prior notice.

No right or license concerning any Contribution is granted to any other user unless the contributing user explicitly agrees in writing to provide such right, license, or permission to a user or users. You affirm and warrant that you either own or possess all necessary intellectual property rights in the Contributions you upload or share with the Community, and that your Contributions do not infringe on the patent, copyright, or other intellectual property rights of others.

Rules of Conduct

In addition to these Terms and our Privacy Statement, which also extend to the Community, you must adhere to the following rules of conduct:

  • Do not directly or indirectly advertise, promote, endorse, or market any third-party commercial products, services, solutions, or other technologies. While you may use the Community to offer supplementary information about your own business that might interest other users (without spamming them), you may only do so after obtaining appropriate consents from relevant users. Commercial use of the Community is solely at your own risk, and we assume no liability for such use.
  • Do not engage in any unlawful conduct. Specifically, refrain from posting, publishing, or distributing defamatory, inappropriate, obscene, infringing, or other unlawful material or information.

  • Do not contribute content containing photos, software, or other material protected by intellectual property laws, rights of privacy or publicity, or any other applicable law unless you own or have rights to these materials.
  • Refrain from posting instructions, software, or other materials that could enable participants or third parties to harm other users' computers or inappropriately access software or websites unless necessary.
  • Do not attack, abuse, interfere with, intercept, disrupt, or exploit any users, systems, or services, regardless of how accomplished. This includes but is not limited to Denial of Service (DoS), monitoring, crawling, spamming, using bots or scripts, or distributing malware (such as viruses, Trojan horses, worms, spyware, or adware).
  • Avoid falsely impersonating any other person in the forum, including Soundview employees or agents.
  • Do not distribute unwanted, unsolicited, or harassing mass email or other messages, promotions, advertising, or solicitations ("spam") or send deceptive or false source-identifying information, including "spoofing" or "phishing."
  • Do not misrepresent the source of anything you contribute.
  • Under no circumstances attempt to collect, store, or publish personally identifiable information (a) without the owner’s knowledge and consent, or (b) of a minor under the age of thirteen.
  • Do not disable, disrupt, circumvent, interfere with, or otherwise violate the security of the Site or access any application, system, service, tool, data, account, network, or content without authorization or for unintended purposes.
  • Do not engage in or promote any illegal or criminal activity, such as child pornography, gambling, or piracy.
  • Be aware that some participants may post Internet website links as part of their Contribution. Soundview is not responsible for the content on the websites associated with these links and reminds you that some content and links on the Internet contain malware or inappropriate material that is not suitable for children or may be offensive to some users.
  • Take responsibility for all actions based on information or advice received while online. Use good judgment when evaluating information provided through the Community or any other communication service. The decision to share information or conduct transactions with anyone is your own; therefore, conduct your own research before making any decisions.
  • Acknowledge that you may compete with other users in various lines of business. Act in a manner that does not violate any applicable state, federal, or international antitrust laws, regulations, or applicable orders. Consequently, you are responsible for obtaining appropriate legal counsel while acting under these Terms. The Community should not be used to bring about or attempt to bring about any understanding or agreement, written or oral, formal or informal, express or implied, between and among competitors regarding prices, terms or conditions of sale, distribution, volume of production, territories, customers, credit terms, or marketing practices. There shall be no contribution, discussion, communication, agreement, or disclosure among users who are actual or potential competitors regarding prices, discounts, terms or conditions of sale or licensing of products or services, pricing methods, profits, profit margins, or cost data, production plans, market shares, sales territories or markets, allocation of territories or customers, or any limitation on the timing, cost, or volume of their research, production, or sales.

Violation of these Terms will result in immediate and notice-free termination of your access, so please be considerate and use the Site for its intended purpose.

Indemnification

You hereby agree to defend, indemnify, and hold harmless Soundview, along with anyone acting on its behalf, including but not limited to its owners, managers, officers, and employees, from any losses, expenses, costs, claims, damages (including reasonable attorneys’ fees, expert fees, and other reasonable costs of litigation) arising from, incurred as a result of, or in any manner related to your violation of these Terms.

DMCA Notice and Trademark Infringement

Applicable Law

This Site is operated by Soundview from its offices in the State of California, U.S.A. Soundview makes no representation that Site Content, products, or services are appropriate or available for use in other locations. Access from territories where content is illegal is prohibited. Users accessing the Site from other locations do so at their own initiative and are responsible for compliance with local laws. Do not use or export Site Content in violation of U.S. export laws. These Terms are governed by the laws of the State of California, U.S.A., excluding any conflict of laws rules or principles. In case of a dispute related to the Site or these Terms, you and Soundview agree to the exclusive personal jurisdiction and venue in the state and federal courts of Santa Clara County, State of California, U.S.A. If any provision of these Terms is found invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in effect. Failure to act immediately in case of a violation of these Terms does not waive our rights to take action in the future or in similar situations.
